End User License Agreement (EULA)

1. Agreement to License

This End User License Agreement ("EULA") is a legal agreement between you and Tourlu ("we," "our," or "us") governing your use of the Tourlu software service.

By clicking "I accept," purchasing a token package, or using the service, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree to these terms, you must not use the service.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Tourlu service for your personal, non-commercial use.

3. License Restrictions

You agree NOT to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software
  • Modify, adapt, alter, or create derivative works of the software
  • Remove, alter, or obscure any proprietary notices or labels on the software
  • Use the software for any commercial purpose without our express written permission
  • Share, resell, or redistribute the software or your account credentials
  • Use automated systems, bots, or scripts to abuse or exploit the service
  • Export or re-export the software in violation of any applicable export control laws or regulations
  • Violate any applicable laws or regulations while using the service

4. Intellectual Property Rights

Your Rights:

  • You retain ownership of all user-generated content, including tour itineraries and custom instructions
  • You grant us a license to use your content to provide and improve our service

Our Rights:

  • We own all rights, title, and interest in the Tourlu software, including all intellectual property rights
  • The software is protected by copyright, trademark, and other intellectual property laws
  • All content generated by our AI (descriptions, route information) is provided for your personal use

5. Service Availability and Modifications

Service Availability:

  • We provide the service on a "best efforts" basis
  • We do not guarantee uninterrupted, error-free, or secure service
  • The service may be unavailable due to maintenance, updates, or technical issues

Service Modifications:

  • We reserve the right to modify, suspend, or discontinue the service at any time
  • We may update features, change functionality, or remove features without prior notice
  • We are not obligated to provide updates or new features
  • The service may automatically update to new versions, and continued use constitutes acceptance of such updates

Third-Party Components: The service may incorporate third-party software components and open-source libraries. Your use of such components is subject to their respective license terms.

6. Termination

Your Termination Rights:

  • You may terminate this license at any time by deleting your account
  • Important: Deleting your account while you have purchased tokens will result in the loss of those tokens without refund
  • Data Backup: You are responsible for backing up any data you wish to retain. We are not responsible for any loss of data upon termination of your account or the service

Our Termination Rights:

  • We may terminate or suspend your access to the service immediately, without prior notice, for:
    • Violation of this EULA or our Terms and Conditions
    • Fraudulent, abusive, or illegal activity
    • Any other reason we deem necessary

Upon termination, your right to use the service will cease immediately, and we may delete your account and data.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE

We do not warrant that the service will meet your requirements or that any errors will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TOURLU, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

Our total liability to you for all claims arising from or related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tourlu and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the service
  • Your violation of this EULA
  • Your violation of any rights of another party

10. Governing Law and Jurisdiction

This EULA is governed by the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any disputes arising from or related to this EULA shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

11. Entire Agreement

This EULA, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and Tourlu regarding the service and supersedes all prior agreements and understandings.

12. Changes to This EULA

We reserve the right to modify this EULA at any time. We will notify users of material changes. Your continued use of the service after such changes constitutes acceptance of the updated EULA.

13. General Provisions

Severability: If any provision of this EULA is found to be unenforceable or invalid, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of this EULA will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer this EULA or your license without our prior written consent. We may assign this EULA without restriction.

Force Majeure: We will not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet failures, or acts of government.

Limitation Period: Any claim arising from or related to this EULA must be brought within one (1) year of the date the claim arose, or such claim is forever barred.
